Job Description

THE FIRM

A sector focused global law firm has a transactional role focusing on corporate / projects/ commercial work.

THE ROLE

Corporate - advising on acquisitions, disposals and joint ventures often, although by no means exclusively, in the energy, logistics and ports & terminals sectors - reviewing, drafting and commenting on transaction documents - share purchase agreements, shareholder agreements, operational joint ventures, disclosure letters etc; due diligence; preparing board and shareholder minutes and other ancillary documents in preparation for exchange and completion; general corporate advisory work.

Projects - advising on international, high-value projects often in the energy and ports & terminals sectors for both government and private sector interests; reviewing, drafting and commenting on key transaction documents including concession and long-term licence arrangements for the development, construction, operation and management of port & terminal facilities as well as of energy facilities (including offshore facilities such as FPSOs and FSRUs).

Commercial - advising clients on a variety of commercial contracts, often, although by no means exclusively, in the energy, logistics and ports & terminals sectors - buyers and providers of transport, warehousing and logistics services governing the provision of those services; advising buyers and providers of ports & terminals and stevedoring services on commercial contracts governing the provision of those services;

Multi-jurisdictional advice - Co-ordinating input from the global network of offices and from local counsel in other jurisdictions to advise clients on cross border transactions or in due diligence or similar exercises.

Practice development - presentations to clients and at the firm's client seminars; contributing articles for bulletins and briefings; involvement in client pitches

THE CANDIDATE

The successful candidate will be NQ-4pqe and have strong academics paired with experience of transactional work (at least 1 year's PQE), within a City firm environment and have an interest in corporate/ commercial/ projects work.
